Payment Processing Policy

1. Overview

This Payment Processing Policy ("Payment Policy") describes how Level Up Technology LLC d/b/a Level Up Labs ("Level Up Labs," "we," or "us") handles payment transactions made in connection with subscriptions to BacklogZero® self-managed software (the "Software"). This Payment Policy supplements the Terms of Service, which are incorporated by reference.

Card payments and Stripe invoices for self-managed subscriptions purchased on backlogzero.ai are processed through Stripe, Inc. ("Stripe"), a third-party payment service provider. Level Up Labs does not independently process, store, or transmit payment card data.

AWS Marketplace purchases and certain professional-services (FDE) engagements are billed through those separate commercial channels and are not processed through this site's Stripe checkout.

2. Payment processor: Stripe

Level Up Labs has engaged Stripe, Inc. as the payment processor for self-managed subscription transactions on this site. Stripe is a PCI DSS Level 1 certified payment service provider, which represents the highest tier of compliance under the Payment Card Industry Data Security Standard.

By providing your payment information to Stripe through BacklogZero checkout, a Stripe-hosted invoice, or a pay link we send after AAP entitlement confirmation, you acknowledge that:

• ·Your payment information is submitted directly to and processed by Stripe, not by Level Up Labs.
• ·Stripe's handling of your payment data is governed by Stripe's Privacy Policy and Stripe's Terms of Service.
• ·Level Up Labs does not have access to your full payment card number, CVV/CVC, or full bank account details.
• ·Stripe's PCI DSS Level 1 certification means your payment data is protected under rigorous industry security standards.

3. What payment information Level Up Labs receives

Following a successful transaction, Stripe provides Level Up Labs with limited, non-sensitive information for billing, entitlement, and account management purposes, including:

• ·Last four digits of the payment card.
• ·Card type (for example, Visa or Mastercard).
• ·Card expiration date.
• ·Billing name and address.
• ·Transaction ID and payment status.
• ·Subscription quantity (managed AAP nodes / 100-node packs), term length, and renewal or period-end date.

This information is used solely to provision and manage your subscription, generate invoices and receipts, handle billing disputes, operate the customer portal (including software downloads that require an in-term paid subscription), and comply with applicable tax and financial reporting obligations.

4. Accepted payment methods

Self-managed subscriptions purchased on this site may be paid by the following methods, subject to availability for your checkout path and region as determined by Stripe:

• ·Major credit and debit cards (Visa, Mastercard, American Express, Discover) billed monthly against an annual commit.
• ·Major credit and debit cards as an annual prepaid charge (5% off list, except AAP evaluation POC purchases).
• ·Stripe invoice for prepaid annual terms (typically due within 30 days of issue).
• ·Optional voucher or promotion codes when issued by Level Up Labs and accepted by Stripe at checkout.

AAP evaluation POC purchases are prepaid annual card only. Payment method availability may vary by country or region. Level Up Labs does not accept payment by check, wire transfer, cash, or cryptocurrency on this site.

5. Subscription billing

BacklogZero self-managed software is sold as an annual subscription at $15 per managed Red Hat Ansible Automation Platform node per year, in 100-node packs. There is no free evaluation. Capacity follows the relevant AAP subscription. Each BacklogZero install is licensed for one AAP/AWX environment.

5.1 Checkout paths and first-term pricing

Unvalidated purchases (currently entitled AAP, not yet confirmed by Level Up Labs) start at 500 nodes and are not co-termed.

If we can validate your applicable paid AAP entitlement, we co-term BacklogZero to that anniversary and prorate the first term (minimum 30 days). Co-term pricing is not applied on self-attestation: after we confirm the entitlement, we send a Stripe pay link for the confirmed amount.

A 60-day AAP evaluation POC is 100 nodes / 12 months / $1,500, charged up front, with no co-term, no 5% prepaid discount, and no auto-renew.

5.2 Automatic renewal

Credit-card subscriptions auto-renew except AAP-evaluation POC purchases. By subscribing, you authorize Level Up Labs and Stripe to charge your designated payment method for the applicable subscription fee at each renewal.

Monthly card purchases are an annual commit billed monthly through a Stripe subscription. Annual prepaid card and invoice purchases are billed for the stated term; except for AAP evaluation POC, those terms also auto-renew at the end of the paid period.

5.3 Advance notice of renewal

We will provide notice of upcoming subscription renewals via email to the address on file with your account. For annual terms, this notice will be sent at least fifteen (15) days prior to renewal.

5.4 Price changes

Level Up Labs reserves the right to change subscription pricing with at least thirty (30) days' advance written notice. If you do not cancel prior to the effective date of the price change, continued use of the Software constitutes acceptance of the new pricing.

5.5 Failed payments

If a card payment fails, Stripe will attempt to retry the charge in accordance with its automated retry schedule. Unpaid Stripe invoices remain due under the stated payment terms. Level Up Labs will notify you of payment failures via email. If payment is not successfully collected within the applicable grace period, your entitlement may lapse until payment is resolved. Software tarball downloads require an in-term paid subscription; documentation and product-issue reporting remain available to signed-in customers.

6. Cancellation and refunds

6.1 Cancellation

You may cancel your subscription at any time by contacting us at the address below. Cancellation takes effect at the end of the current billing period. You will continue to have access to entitled portal features through the end of the paid period. AAP evaluation POC purchases do not auto-renew.

6.2 Refunds

Subscription fees are generally non-refundable. Level Up Labs may, at its sole discretion, offer partial or full refunds in the following circumstances:

• ·Service-delivery failures of significant duration attributable to Level Up Labs that materially impaired access to entitled downloads or support for the Software.
• ·Billing errors resulting in overcharges.
• ·Where required by applicable consumer protection law in your jurisdiction.

7. Invoicing and receipts

Stripe automatically generates and delivers payment receipts to the email address associated with your purchase following each successful card transaction. For the prepaid annual invoice option, Stripe issues a hosted invoice that is typically due within thirty (30) days. Level Up Labs also maintains billing and entitlement records accessible through your customer account. For enterprise billing arrangements that cannot use this site's invoice option, please contact us.

8. Sales tax and VAT

Subscription fees may be subject to sales tax, value added tax (VAT), goods and services tax (GST), or other applicable taxes, depending on your jurisdiction. Where required by law, applicable taxes will be calculated and collected by Stripe at checkout or on the invoice and reflected on your receipt. You are responsible for ensuring that your billing address information is accurate for tax calculation purposes.

If you are a business customer and are VAT-registered, you may provide your VAT identification number to us or through Stripe billing details to apply applicable VAT exemptions where permitted.

9. Payment security

Level Up Labs takes the following measures to ensure the security of payment transactions:

• ·All payment data is transmitted over encrypted connections (TLS 1.2 or higher).
• ·Payment card data is processed and stored by Stripe under PCI DSS Level 1 standards.
• ·Level Up Labs does not store full payment card numbers or CVV/CVC codes.
• ·Access to billing information within Level Up Labs systems is restricted to authorized personnel.
• ·Fraud monitoring and prevention tools are employed by Stripe in connection with all transactions.

In the event that Level Up Labs becomes aware of a security incident involving your billing information, we will notify you promptly in accordance with applicable breach notification laws.

10. Disputed charges and chargebacks

If you believe a charge is unauthorized or incorrect, we encourage you to contact us at hello@leveluplabs.ai so that we can resolve the issue promptly and fairly. This request to contact us first is a courtesy and does not limit, delay, or otherwise affect your right to initiate a chargeback or dispute with your card issuer or financial institution at any time under applicable card network rules or law.

We will not suspend or terminate your account solely because you exercised your right to initiate a legitimate chargeback or dispute. Level Up Labs reserves the right to suspend or terminate an entitlement in connection with chargeback activity only where, following a good-faith investigation, the activity is determined to be fraudulent or abusive (for example, repeated chargebacks for charges the customer concedes were authorized and accurate).

11. AWS Marketplace, FDE, and custom billing

A Marketplace engagement (guided deployment, FDE, early access) is a separate commercial path from self-managed subscriptions purchased on this site. Marketplace transactions are billed according to AWS Marketplace terms, not this site's Stripe checkout.

Customers may also request prepaid annual invoicing through this site's checkout, or other custom billing arrangements (including purchase order-based invoicing) by contacting us. Custom enterprise billing arrangements may be subject to a separate order form or agreement.

12. Changes to this policy

We may update this Payment Policy from time to time. Material changes will be communicated via email or a notice on this site at least fourteen (14) days before taking effect. Continued purchase or renewal of the Software after the effective date constitutes acceptance.
